Biopharmedia Terms & Conditions

The below terms and conditions govern the relationship between the Client and Biopharmedia, who acts as the “freelancer” providing professional video production services. By engaging Biopharmedia’s services, the client agrees to be bound by these terms and conditions, which outline the rights, obligations, and expectations of both parties. Please read these terms and conditions carefully and contact us if you have any questions or concerns.

GENERAL TERMS & CONDITIONS

1. Payment terms:

 

Payment for services rendered must be made within 14 days of issue of invoice, which will be submitted on the issue on the day of filming completion, unless otherwise agreed in writing by both parties.

 

If the client requests payment terms of 30 days or more, a deposit payment upfront is required as outlined in the Deposit Acceptance Form (Please refer to clause 6). The deposit amount shall be either £500 or 20% of the total quote value, whichever is greater.

 

2. Intellectual property:

 

All intellectual property rights in the video produced by the freelancer shall pass to the client upon receipt of full payment.

 

3. Indemnity liability:

 

The client agrees to indemnify and hold harmless the freelancer from any and all liability arising from the client’s use of the video.

 

4. Creative brief:

 

The client shall provide a written brief outlining their requirements for the video, which shall serve as a guide for the freelancer. The freelancer shall have creative license to produce a video of professional quality in accordance with the client’s brief.

 

5. Purchase order/confirmation:

 

The client shall issue a purchase order or provide written confirmation (via email to hello@biopharmedia.co.uk) of the work to be carried out by the freelancer before any work is undertaken.

 

6. Quote Acceptance and Deposit Payment Forms:

 

On confirmation of acceptance by our client we will issue a Quote Acceptance Form. By signing the Quote Acceptance Form (ref. ,Quote-Acceptance-Form-FRM-QAF-04.24-BPM) the client agrees to abide by the terms and conditions outlined therein, including but not limited to the cancellation policy and any deposit requirements.

The Quote Acceptance Form serves as confirmation of the client's acceptance of the quote provided for the specified project.

In the event that a deposit payment is required, the client agrees to adhere to the terms outlined in the Deposit Acceptance Form (ref. Deposit-Payment-Acceptance-FRM-DPA-04.24-BPM)

The Deposit Payment Acceptance Form specifies the amount of the deposit required and the terms for its payment.

 

By signing either the Quote Acceptance Form or the Deposit Payment Acceptance Form, the client acknowledges their understanding and acceptance of the terms and conditions associated with the respective forms.

 

7. Cancellation & Rescheduling policy:

In the event that the client cancels the project, the following cancellation fees shall apply:

 

- Up to 72 hours before commencement: Full payment.

- Between one week and 72 hours prior to production: 70% of the total fee.

- Over one week notice: 30% of the total fee.

 

However, if the client wishes to reschedule the shoot date, no cancellation fees will be incurred provided that the rescheduling is arranged within 60 days of the original shoot date.

 

Any rescheduling beyond this period may be subject to the cancellation fees outlined above

 

8. Promotional use:

Biopharmedia may have the right to use footage produced from the project for promotional purposes and portfolio materials to showcase case studies of their work, subject to the client's consent. The client's branding, logo, interviewee names, or any other identifying features will not be used in such content without prior consent from the client, unless otherwise specified in the client's Non-Disclosure Agreement (NDA) or other policies regarding usage.

In the event that the client has an NDA agreement or their own policy regarding the usage of their work, such agreement or policy will supersede the freelancer's promotional usage policy. It is the responsibility of the client to inform the freelancer of any such agreements or policies prior to commencement of the project.

The client acknowledges and agrees that any usage of their work by the freelancer for promotional purposes, with or without client consent, does not constitute a breach of confidentiality or infringe any intellectual property rights.

9. RAW footage:

 

The client may request to receive the RAW footage from the project, which shall be made available to them for a one-off fee of £500.

 

The footage shall be delivered on a SSD drive. The fee covers the cost of providing the footage in the agreed format for the client’s use. The client acknowledges that the RAW footage is unedited and may require additional work to produce a final product.

The client shall not distribute or sell the RAW footage to any third party without the prior written consent of the freelancer.

 

10. Force Majeure:

 

The freelancer shall not be held responsible for any delay or failure in performance of any part of the agreement to the extent that such delay or failure is caused by fire, flood, adverse weather, acts of terrorism, strikes or any other events beyond the reasonable control of the freelancer.

In such circumstances, the freelancer shall make every reasonable effort to minimise the impact of such events on the project.

 

11. Amendments to edits:

 

The client shall be entitled to two rounds of amendments to the edit, which shall be in accordance with the original client brief.

Any further amendments requested by the client that fall outside of the original client brief shall be subject to additional charge at the post-production day rate of £400 per day. The client shall be notified in writing of any additional charges before such work is undertaken.
